Projects and Deliverables

All projects and deliverables will be specified in a separate agreement or statement of work. These Terms govern the general relationship between us and our clients, while specific project details, timelines, and deliverables will be outlined in project-specific documentation.

Intellectual Property

Our Intellectual Property: The content, features, and functionality of our website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are owned by Apphitech and are protected by copyright, trademark, and other intellectual property laws.

Client Materials: You retain all ownership rights to content and materials you provide to us. By providing materials to us, you grant us a license to use, reproduce, and modify these materials solely for the purpose of providing our services to you.

Project Deliverables: Unless otherwise specified in a separate agreement, upon full payment for our services, you will receive ownership rights to the final deliverables created specifically for your project. We retain ownership of pre-existing materials, tools, frameworks, and methodologies used in creating your deliverables.

Payment Terms

Payment terms will be specified in project-specific agreements. Generally, we require a deposit before beginning work, with the remaining balance due according to the payment schedule outlined in your agreement.

Late payments may result in work being paused and may incur late fees. We reserve the right to withhold delivery of final deliverables until full payment is received.

Limitation of Liability

In no event shall Apphitech, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use our services
  • Any conduct or content of any third party on our services
  • Any content obtained from our services
  • Unauthorized access, use, or alteration of your transmissions or content

Indemnification

You agree to defend, indemnify, and hold harmless Apphitech and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to our services.

Termination

We may terminate or suspend access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
